    The Chief Counsel reports to the Executive Vice President, Chief of Staff and External Affairs. This position is responsible for providing legal advice and counsel to Capital Metro’s President & CEO, staff and its Board of Directors. They will lead and oversee all functions of the Legal Department, including oversight of requirements of the Public Information Act and the Records Management program. The Chief Counsel will develop, coordinate and implement legal and compliance strategies for Capital Metro and serve as Ethics Officer for Capital Metro.

     •Provide legal advice and counsel to the Capital Metro President & CEO, staff and Board of Directors regarding all corporate law activities of Capital Metro including, but not limited to, procurement and other contracts, real estate matters and transactions, intergovernmental agreements, employment law and human resources management; 
    •Ensure compliance with, and application of, local, state and federal laws, regulations and policies impacting Capital Metro programs, practices and activities, including but not limited to DBE, ADA and Title VI of the Civil Rights Act of 1964.
    •Participate in and manage active litigation representing Capital Metro’s interest and monitor litigation risks associated with asserted claims, proposed programs and projects, and contractual activities; and development, interpretation and administration of all Capital Metro staff and Board policies.
    •Lead and manage Legal Department staff and develop and implement department operational procedures and systems to ensure legal compliance and best practices in law office management. 
    •Develop, submit for approval, and monitor department budget. Responsible for overseeing department’s financial reconciliation, consolidated budget reporting, and forecasting for current and future fiscal years. 
    •Advise the Board of Directors, including from the dais during public meetings and closed sessions of the board.
    •Serve as Ethics Officer for Capital Metro. Track, receive, and respond to ethics questions, concerns and complaints. Provide Capital Metro’s annual ethics training.
    •Oversee Capital Metro’s records management program and manage compliance with state records management standards, Texas Public Information Act, and Texas Open Meetings Act.
    •Develop preventive law strategies, corporate policy and compliance programs to help minimize litigation, third party disputes and other potential project development and implementation problems.
    •Responsible for ensuring departmental compliance with the agency's Emergency Response Plan.
    •Support Capital Metropolitan Transportation Authority’s Safety Management Systems (SMS) process by following safety and security policies, considering safety in every action and reporting safety and security concerns. 
    •Perform other duties as assigned. 

    •Juris doctorate from an ABA accredited law school and a licensed member of the Texas State Bar or must become licensed by the Texas State Bar within 90 days of employment date.
    •Ten (10) years active practice of law in progressively responsible positions with a strong background in business, labor/employment and public law or related area; including five (5) years of supervisory experience for a government or corporate entity or management of departments or corporate functions is required.
    •Experience working for a public transportation agency is preferred.
